Provider: SpecOne, Inc. [US entity details], USA ("SpecOne"). These Terms govern access to and use of the SpecOne platform. By creating an account or using the Platform you agree to these Terms on behalf of the business you represent. The Platform is offered exclusively to business customers; no consumer contracts are concluded. For customers located in the EU or the UK, the EU & UK Annex at the end of this page forms part of these Terms and prevails over conflicting provisions.

1. Services

SpecOne is a packaging workflow platform providing: capture and management of packaging specifications; AI-assisted artwork scanning (regulatory checks and, where specifications exist on the Platform, artwork-versus-specification cross-checks); AI-assisted specification compliance checks; and, from their respective release dates, AI-assisted translations with packaging terminology support.

2. Accounts and roles

Retailer accounts: overview and read access across the retailer programme; may purchase credit plans valid solely for artwork scans. Agency accounts: full workflow access (project creation, data entry, results visibility); may purchase credit plans valid solely for artwork scans on their own projects; all other AI actions are unavailable to agency accounts. Supplier/printer accounts: full workflow access plus AI credits under an active subscription; one organisation account per supplier company is recommended; user logins are personal and credentials must not be shared.

Accounts are created by invitation following an approved access application. The customer is responsible for safeguarding credentials and for all activity under its accounts. SpecOne may require multi-factor authentication.

3. Fees and payment

Supplier subscription: EUR 99 per month per supplier organisation (up to 5 users), including 500 AI credits per billing cycle (non-rolling). Agency and retailer accounts: no platform fee for 1 master user; each additional user EUR 5 per user per month. Supplier onboarding: EUR 50 one-time, or EUR 150 including a 1-hour live training session.

All prices are exclusive of taxes; applicable sales tax or VAT is added according to the customer's location, and for EU business customers with a valid VAT ID the reverse-charge mechanism applies. Payment is processed by Stripe; invoices are issued electronically. If a subscription payment fails, included credits are suspended after a 7-day grace period until payment is completed.

4. AI credits — how they work

AI actions on the Platform are paid with credits. Usage per action: artwork scan 4 credits; specification compliance check 3 credits; translation 2 credits per target language. The supplier subscription includes 500 credits per billing cycle; included credits do not roll over and lapse at the end of each cycle.

Additional credits come as monthly credit plans (EUR 100 = 500 credits; EUR 250 = 1,500; EUR 500 = 3,500) and, optionally, automatic top-ups (EUR 50 / 100 / 200 per recharge) charged to the saved payment method when the balance runs low. Purchased credits remain usable while the contract runs. Re-scans of unchanged content are free of charge and failed runs are automatically refunded — credits are only consumed by genuine AI evaluations.

Credits for agency and retailer accounts are valid solely for artwork scans (agency: own projects; retailer: programme-wide). Credits have no cash value, are non-transferable between organisations and are non-refundable except where mandatory law provides otherwise.

5. AI results — nature and responsibility

The Platform's scans, checks and translations are AI-assisted decision support. Results may be incomplete or incorrect and do not constitute legal or regulatory advice. They do not replace review by qualified experts or accredited testing institutes. The customer remains solely responsible for the regulatory compliance, accuracy and print-readiness of its packaging and artwork. SpecOne does not warrant that findings identify all defects or that the absence of findings means conformity.

6. Customer content and license

The customer retains all rights to uploaded specifications, artwork and data ("Customer Content"). The customer grants SpecOne a non-exclusive, worldwide license to host, process, reproduce and display Customer Content as necessary to operate and provide the Platform, including rendering, scanning, storage and backup, and to derive packaging terminology entries (short on-pack phrases) used within the Platform's translation dictionary for the relevant retail programme. The customer represents that it holds all rights required to upload Customer Content.

7. Acceptable use

The customer will not misuse the Platform, attempt to access other organisations' data, probe or circumvent security controls, use the Platform to develop a competing service, or upload unlawful content. SpecOne may suspend access to protect the Platform or other customers, with notice where practicable.

8. Availability

SpecOne targets high availability but does not guarantee uninterrupted operation. The Platform depends on third-party infrastructure and AI providers; maintenance windows and provider outages may temporarily limit functions. Where included credits cannot be used due to a sustained Platform outage, the affected cycle's allowance will be reasonably extended on request.

9. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. SECTION 5 APPLIES TO ALL AI OUTPUT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OR DATA (WHERE DATA LOSS WAS AVOIDABLE THROUGH REASONABLE BACKUPS); AND (B) SPECONE'S TOTAL AGGREGATE LIABILITY IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES PAID BY THE CUSTOMER ORGANISATION FOR THE PLATFORM IN THAT PERIOD. THESE LIMITS DO NOT APPLY TO A PARTY'S FRAUD OR WILFUL MISCONDUCT, OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. RESPONSIBILITY FOR REGULATORY CONFORMITY OF PACKAGING RESTS WITH THE CUSTOMER (SECTION 5).

11. Indemnification

The customer will defend and indemnify SpecOne against third-party claims arising from Customer Content or from the customer's use of the Platform in violation of these Terms or applicable law, including packaging that fails regulatory requirements.

12. Term, termination and suspension

Subscriptions and credit plans run monthly and may be cancelled by either party effective at the end of the current billing cycle via the Platform. Either party may terminate for material breach not cured within 14 days of notice. Upon termination, access ends at the end of the paid period; remaining purchased credits lapse. Fees already paid are non-refundable except where mandatory law provides otherwise.

13. General

Confidentiality: each party protects the other's non-public information. Data protection: the Privacy Policy and the Data Processing Agreement apply. Export and sanctions compliance applies. Force majeure, assignment (not without consent, except to an affiliate or in a merger/asset sale), notices, entire agreement and severability apply in the usual form. SpecOne may amend these Terms with reasonable notice; continued use after the effective date constitutes acceptance, provided the notice states this consequence.

14. Governing law and venue

Except as provided in the EU & UK Annex, these Terms are governed by the laws of the State of [Delaware], excluding conflict-of-law rules and the CISG, and the state and federal courts located in [venue] have exclusive jurisdiction.

EU & UK Annex

This Annex applies to customers established in the EU/EEA or the UK and prevails over the main body where they conflict. (1) Contracting entity and law: [regional entity/governing-law election to be completed]. (2) Liability: nothing in the Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded under applicable EU member-state or UK law; subject to that, the exclusions and the 12-month fee cap in Section 10 apply. (3) Taxes: prices are exclusive of VAT; reverse charge applies for EU business customers with a valid VAT ID; UK VAT applies to UK customers. (4) Data protection: the DPA is drafted to satisfy Art. 28 of both the EU GDPR and the UK GDPR; transfers of EU/UK personal data to the United States are protected as described in the Privacy Policy. (5) The Platform is not offered to consumers.
